您好!杨教授,
下面这段关于所有权和风险转移的描述,我看不明白,为何指定已装船只离开港口后还设计到风险转移的问题呢,不是直接在起运国装上船后就转移了吗?这时为何又在收到信用证后才转移风险呢?麻烦赐教,非常感谢!
unless the Seller nominates a loaded vessel that has left the Loading Port, in which case all risk of loss, damage or destruction to the Product delivered shall pass to the  Buyer upon receipt by the Seller of Buyer’s irrevocable documentary Letter of Credit prepared in accordance with clause 12.2(b)(ii).
我翻译为:除非卖方指定已装船只已经离开装货港,此种情况下,交付产品的损失,损坏,毁灭的所有风险是在收到买方按照条款12.2(b)(ii)准备的不可撤销跟单信用证之后再转移到买方的。

补充:
1.这是一份关于进口铁矿石的合同
2. 本句unless之前的话是:Subject to the Buyer opening a Letter of Credit pursuant to clause12.2(b)(i),all risk of loss, damage or destruction to the Product delivered under this Agreement shall pass to the Buyer at the time it is on board the vessel having passed over the ship’s rail from the loading devices into the vessel

一般情况,在FOB或CIF(INCOTERMS2010)条件下,风险在装运港货物上船后转移,但双方可特别约定风险和所有权转移时间,如合同中有特别约定,该特别约定应优先贸易术语的规定,以上供参考。
